End-User License Agreement

Effective date: April 19, 2026

This End-User License Agreement ("Agreement") governs your use of the QuickBooks integration software ("the Software") provided by Studio.Prompted LLC ("we," "us," or "our").

1. Grant of License

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software solely for your own internal business purposes in connection with your QuickBooks Online account.

2. Permitted Use

You may use the Software to:

Read and modify data in your own connected QuickBooks Online company
Generate reports, invoices, and other accounting workflows
Connect AI assistants to your QuickBooks data for analysis and automation

3. Restrictions

You may not:

Resell, sublicense, or redistribute the Software
Reverse engineer, decompile, or disassemble the Software except as permitted by law
Use the Software to access QuickBooks data you are not authorized to access
Use the Software in violation of Intuit's Terms of Service

4. Ownership

The Software is licensed, not sold. We retain all right, title, and interest in the Software and any modifications thereto.

5. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STUDIO.PROMPTED LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

7. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Studio.Prompted LLC is organized, without regard to its conflict of law principles.
